Welcome to Welcome Canada (the "Website"). The Website and the associated Startoire onboarding assistant software (the "Platform") are owned and operated by Smartoire Inc. ("Smartoire", "we", "us", "our").

1. Agreement to Terms

By accessing or using our Website and Platform, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you must not use or access our services.

2. Description of Services & Administrative Scope

Welcome Canada provides a digital concierge and AI-assisted drafting workflow to help users prepare documents related to starting a business in Canada (e.g., Sole Proprietorship registry templates, Canada Revenue Agency tax account setups, and bookkeeping template files).

IMPORTANT: Smartoire Inc. is NOT a law firm, accounting firm, or immigration consulting agency. We do not provide legal advice, tax planning advice, audit representation, or immigration consulting services. Using our Platform does not establish an attorney-client or CPA-client relationship. If you require legal counsel or professional accounting reviews, please consult a licensed lawyer or CPA in your province.

3. User Responsibility & Filings

You are solely responsible for reviewing the accuracy, completeness, and suitability of all drafted forms, registration templates, and ledger structures before filing them with any government department, including the CRA and provincial registries. We make no representations that the drafted packets will be accepted without modifications by government offices.

4. Privacy & Data Handling

Your use of the Platform is governed by our Privacy Policy. Since we host our data engines locally within Canada, we ensure compliance with PIPEDA principles. You retain all ownership of the parameters you input into the onboarding questionnaire.

5. Limitation of Liability

To the maximum extent permitted by applicable Canadian law, Smartoire Inc. and its directors, officers, employees, or concierges shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the Platform, including but not limited to registration rejections, tax penalties, audits, or business losses.

6. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of these terms shall be resolved exclusively in the courts located in Toronto, Ontario.
